Terms of Use

Draft — to be reviewed by counsel before launch.

Effective date: [effective date] · Last updated: October 8, 2026

These Terms of Use ("Terms") are an agreement between you and Clevers LLC ("we", "us") for your use of Cafy: our website (https://cafy.ai), the Cafy Go app for event planners (iOS, Android and web at [Cafy Go web app URL]), and the Cafy partner app and partner portal (https://app.cafy.ai) (together, the "Service"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you use the Service for a company, you agree on its behalf and confirm you're authorized to do so; "you" then includes that company.

In these Terms:

  • Planners are people and companies who use Cafy Go to plan events and book rides.
  • Partners are independent transportation companies (for example limousine and charter operators) that use Cafy to receive ride requests, send quotes and carry out rides.
  • Drivers are the people a Partner assigns to drive a ride.
  • A ride is a single transfer or block of hourly service in a plan. A booking is a ride (or set of rides) for which a Planner has accepted a Partner's quote.

If you're a Partner and have signed a separate partner agreement with us, that agreement prevails over these Terms where they conflict.

1. Accounts

  • You must be at least [18] years old and able to form a binding contract.
  • Give accurate information and keep it up to date, especially contact details Partners and Drivers rely on to find you on the day.
  • Keep your sign-in methods secure (your email and password or codes, and any Google or Apple account you sign in with). You're responsible for activity under your account. Tell us at support@cafy.ai if you suspect unauthorized use.
  • Partners are responsible for the accounts of the Drivers and staff they add, and for removing access when someone leaves.

2. What Cafy is, and what it isn't

Cafy is a planning tool and a marketplace. We help Planners organize events and connect them with Partners who quote for and carry out rides.

  • We don't provide transportation. We aren't a transportation carrier, limousine operator, travel agent or broker of record, and we don't own or operate vehicles or employ Drivers. Every ride is provided by the Partner whose quote you accept.
  • Partners are independent. Partners and their Drivers are independent businesses and people, not our employees, agents or contractors. The contract for a ride is between the Planner and the Partner; we're not a party to it, except for our role in taking payment as set out in section 6.
  • Partners are responsible for their rides, including their vehicles, Drivers, licences, permits and insurance, and for complying with transport, safety and employment laws.
  • Vetting. We check Partners before they join and may remove them, but our checks are limited. We don't guarantee the quality, safety, timeliness or legality of any Partner's service, or that a Partner will be available for your dates.
  • Places. Restaurants, hotels, venues and activities shown in a plan are suggestions only. We don't book or provide them unless we clearly say so, and we're not responsible for them.

3. Planning events and Plan with AI

  • You can create events, add days, rides and places, and add a responsible party and other people to coordinate with. Only add other people's details where you have their permission or another lawful reason, and only what's needed for the event.
  • Plan with AI drafts an itinerary from a description you type, using a third-party AI model. AI drafts are suggestions. They can be inaccurate, incomplete or out of date (for example about opening hours, travel times or distances), and similar descriptions can give different results. Check every detail before you rely on it or send rides for quotes. Nothing is booked until you accept a quote.
  • Don't put sensitive information (for example health details) in your description or notes unless it's needed for a ride.

4. Requests, quotes and bookings

  • Requests. When you send a plan's rides for quotes, we share the ride details with suitable Partners (see our Privacy Policy). Sending a request doesn't oblige you to book.
  • Quotes. A Partner's quote is its offer to carry out the ride(s) described, at the price shown, per ride. Quotes may expire. The price you see before you accept includes any Cafy service fee that applies to you.
  • Bookings. When you accept a quote, a binding booking is formed between you and that Partner on the terms of the quote, these Terms and the cancellation policy in section 5. We'll confirm it in the app.
  • Changes. If you change a booked ride (for example time, pickup, passengers or vehicle type), the Partner may update its quote or decline the change. A change takes effect only once both of you have agreed it in the app.
  • Extras on the day: [TO CONFIRM: how extra time, waiting, tolls, parking, gratuity or changes on the day are agreed and charged]
  • Accuracy. Planners are responsible for accurate ride details (addresses, times, number of passengers and luggage) and for being at the pickup on time. Partners are responsible for quoting accurately for the ride described.

5. Cancellations and refunds

[TO CONFIRM: cancellation windows and refunds for planners (e.g. full refund up to X hours before pickup), what happens when a partner cancels, and no-show rules]

If a Partner cancels a booking or fails to show up, you'll get a full refund of what you paid for that ride, and we'll try, but can't guarantee, to help you find another Partner. Refunds go back to the original payment method and may take several business days to appear.

6. Payments

  • Paying through Cafy. Planners pay for bookings through the Service. Payments are processed by Stripe; by paying you also agree to Stripe's terms. Pay only through the Service: don't arrange to pay a Partner directly for a ride you found through Cafy.
  • When you're charged: [TO CONFIRM: when the planner is charged, e.g. in full when a quote is accepted, or authorized then and captured after the ride]
  • Our role. For payments made through the Service, we (through Stripe) collect the payment on the Partner's behalf as its limited payment collection agent. Once you've paid us, your payment obligation to the Partner for that amount is met.
  • Fees. [TO CONFIRM: Cafy's fee, e.g. a service fee shown to the planner on top of the quote and/or a commission deducted from the partner's payout, and how it's displayed] Any fee is shown before you accept a quote or, for Partners, in the partner portal.
  • Taxes. Prices are shown with or without taxes as stated in the quote. Partners are responsible for the taxes on their services; we're responsible for the taxes on our fees.
  • Disputes and chargebacks. If you think you were charged incorrectly, contact support@cafy.ai before disputing the charge with your bank, so we can look into it.

7. Partner terms

If you're a Partner, you also agree that:

  • Licences and insurance. You hold, and will keep current, every licence, permit and registration required to carry passengers for hire wherever you operate, and commercial auto and liability insurance at least at the levels the law requires (and any higher levels we tell you about). You'll give us proof when we ask and tell us promptly if any of it lapses.
  • Vehicles. Your vehicles are properly registered, insured, maintained, inspected and safe, and match the vehicle type you quoted.
  • Drivers. Every Driver you assign is properly licensed for the vehicle, has passed the background, driving-record and (where required) drug and alcohol checks the law and good industry practice call for, and is your employee or contractor, not ours. You're responsible for their conduct, pay and working conditions.
  • Carrying out rides. You'll carry out each booking as quoted, on time and professionally, keep ride status in the app up to date, and only cancel a booking for a good reason and as early as possible.
  • Quotes. Your quotes are honest and complete. You won't charge Planners anything that wasn't agreed in the app.
  • Payouts. To receive payouts you must onboard with Stripe Connect and accept Stripe's Connected Account Agreement. Stripe collects your identity, business and bank details and decides whether to enable payouts. [TO CONFIRM: when partners are paid out, e.g. X days after the ride is completed, less Cafy's fee] We may withhold or reverse a payout for a ride that wasn't carried out as booked, was refunded under the cancellation policy, or is under investigation for fraud or a chargeback.
  • Planners' information. You'll use Planners' and passengers' details only to quote for and carry out their rides, keep them secure, and not use them for marketing or to take bookings outside Cafy.
  • Incidents. You'll tell us promptly about any accident, injury, complaint or other serious incident during a ride booked through Cafy.

8. Messaging

You can message Planners, Partners and Drivers in the Service about events and rides. Keep messages relevant and respectful. We may review messages to keep the Service safe, investigate complaints and resolve disputes, as our Privacy Policy describes.

9. Your content

  • You keep ownership of what you put into the Service, such as plans, notes, messages and photos ("Content").
  • You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit and display Content as needed to provide, secure and support the Service, including sharing ride details with Partners, sending your description to our AI provider when you use Plan with AI, and as the law requires.
  • You're responsible for your Content and confirm you have the rights and permissions needed to put it into the Service, including other people's details.

10. Acceptable use

Don't use the Service to:

  • break the law or infringe anyone's rights, including privacy and intellectual property;
  • give false information, make fake requests or bookings, or quote for rides you can't or won't carry out;
  • arrange or pay for rides outside Cafy with someone you met through it, to avoid our fees;
  • harass, threaten, discriminate against, impersonate or defraud anyone;
  • transport anything illegal, or ask a Driver to break traffic, safety or passenger-limit rules;
  • upload malware, or probe, scan, overload or break the Service or its security, or access accounts or data you aren't authorized to access;
  • scrape the Service, or copy, reverse engineer, resell or build a competing product from it, except as the law expressly allows;
  • use Plan with AI to generate unlawful or harmful content, or in breach of the AI provider's usage policies.

We may remove Content, cancel requests, or suspend access that breaks these rules.

11. Third-party services

The Service relies on services we don't control, for example Stripe, Google and Apple sign-in, maps, app stores and our AI provider. Their own terms govern your use of them, and we aren't responsible for them. If one of them changes or stops working, we may change or remove the feature that depends on it.

12. Availability and changes to the Service

We work to keep the Service available and secure, but it may sometimes be unavailable, for example for maintenance or because of events outside our control. Notifications and ride status updates depend on networks and devices and may be delayed. We may change, add or remove features. Support is available at support@cafy.ai, and for Partners at partners@cafy.ai.

13. Suspension and termination

  • By you. You can stop using the Service at any time and delete your account in the app's settings. Bookings you've already made, and any cancellation fees under section 5, aren't affected.
  • By us. We may suspend or end your access if you breach these Terms, if a Partner no longer meets our requirements (for example its licence or insurance lapses), if required by law, or to protect the Service, other users, passengers or third parties. Where reasonable, we'll give notice first and a chance to fix the problem. If we end a Partner's access, we'll tell affected Planners and help them rebook where we can.
  • Sections that by their nature should survive termination (including 6, 9 and 14 to 18) survive.

14. Disclaimers

THE SERVICE, INCLUDING PLAN WITH AI, IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DON'T WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT AI-GENERATED PLANS WILL BE ACCURATE OR COMPLETE, OR THAT ANY PARTNER WILL QUOTE, BE AVAILABLE OR PERFORM AS EXPECTED. RIDES ARE PROVIDED BY PARTNERS, NOT BY US, AND WE MAKE NO WARRANTY ABOUT THEM.

15. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER WE NOR OUR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, OR FOR THE ACTS OR OMISSIONS OF ANY PARTNER, DRIVER OR OTHER USER, INCLUDING ANY PERSONAL INJURY, PROPERTY DAMAGE, DELAY OR MISSED EVENT ARISING FROM A RIDE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE FEES YOU PAID US (NOT INCLUDING AMOUNTS PASSED ON TO PARTNERS) IN THE 12 MONTHS BEFORE THE CLAIM AND US $100. These limits don't apply to liability that can't be limited by law, such as for fraud or for death or personal injury caused by our negligence. Some jurisdictions don't allow these limits, so they may not apply to you.

16. Indemnity

Partners, and anyone using the Service for a business, will defend and indemnify us against third-party claims arising from their services, rides, Drivers or vehicles, their Content, or their breach of these Terms or the law, to the extent permitted by law. This section doesn't apply to consumers.

17. Disputes between users

If something goes wrong with a ride, contact the Partner first through the app; if you can't resolve it, contact us at support@cafy.ai and we'll try to help. We may decide refunds under the cancellation policy, but we're not obliged to resolve disputes between Planners and Partners, and any claim about the ride itself is against the Partner.

18. Governing law and disputes

These Terms are governed by the laws of [the State of Delaware, USA], without regard to conflict-of-law rules, and disputes will be resolved in [the state and federal courts located in Delaware]. If you're a consumer, you keep any protections the laws of your country of residence give you, and you may bring a claim in its courts.

19. Changes to these Terms

We may update these Terms. We'll post the new version here with a new date and, for material changes, tell you in the Service or by email at least [30 days] before they take effect. Bookings already made stay under the Terms in force when they were made. If you keep using the Service after a change takes effect, you accept it; if you don't agree, stop using the Service and, if you wish, delete your account.

20. General

These Terms, the Privacy Policy and any separate partner agreement (which prevails where it conflicts) are the entire agreement between you and us about the Service. If any part is unenforceable, the rest stays in effect. Not enforcing a provision isn't a waiver. You may not transfer these Terms without our consent; we may transfer them in a merger, acquisition or sale of assets. Neither of us is liable for delays caused by events beyond reasonable control.
